These Terms are part of the SP EULA, a unified agreement containing Spectra Studioz’s Terms of Service and Privacy Policy. The SP EULA governs the use of Spectra Studioz services, websites, products, and other offerings.
These Terms of Service (“Terms”) govern your access to and use of services provided by Spectra Studioz (“Spectra Studioz,” “we,” “us,” or “our”).
These Terms do not apply to the owner of Spectra Studioz, DrLikarish, in their capacity as the owner or operator of Spectra Studioz.
By accessing or using our services, websites, products, or other offerings, you agree to these Terms. If you do not agree with these Terms, please do not use our services.

Spectra Studioz provides digital creative, development, and technology-related services. These may include:

- Branding and visual design
- Digital media creation
- Development and technical services
- Creative and technical consultation
- Other digital products or services offered by Spectra Studioz
The exact scope of a project or service may be defined through a separate agreement, quotation, proposal, invoice, or other written communication.
We reserve the right to introduce, modify, suspend, or discontinue any service at any time.
03User Responsibilities
When using our services, you agree to:
- Provide accurate and reasonably complete information when required.
- Use our services only for lawful purposes.
- Respect the rights of other users, clients, contributors, and individuals.

04Intellectual Property
Unless otherwise agreed in writing, Spectra Studioz retains ownership of its original intellectual property, including its branding, logos, designs, software, source code, documentation, graphics, text, and other materials created or owned by Spectra Studioz.
Nothing in these Terms automatically transfers ownership of Spectra Studioz intellectual property to a client or user.
Where a project involves custom work for a client, ownership and licensing of the resulting materials will be determined by the applicable project agreement or written arrangement.
You retain ownership of materials that you provide to Spectra Studioz, subject to any rights that you grant us so that we can provide the requested service.
You must have the necessary rights or permissions to provide any content, files, images, trademarks, or other materials that you submit to us.
05Payments
Where a service requires payment, fees will be communicated before or during the relevant transaction, project, or service arrangement.
Unless otherwise agreed in writing:
- Payments are due according to the applicable invoice or payment terms.
- Deposits or upfront payments may be non-refundable.
- Completed services may be non-refundable.
- Additional work outside an agreed scope may incur additional charges.
- Failure to make required payments may result in suspension or termination of the relevant service.
Payment providers and other third-party services may apply their own terms and fees.
06Refunds
Unless otherwise stated at the time of purchase, payments for services, digital products, subscriptions, or completed work are generally non-refundable.
We do not provide refunds solely because a user changes their mind, stops using a service, or does not use all or part of a purchased service.
Any refund provided outside of a legal requirement is offered at the sole discretion of Spectra Studioz.
Nothing in this section is intended to exclude, restrict, or override any refund, cancellation, withdrawal, or other consumer rights that cannot legally be excluded under the laws applicable to you.
07Third-Party Services
Our services may depend on or integrate with third-party services, platforms, hosting providers, payment processors, APIs, software, or other technologies.
We do not control third-party services and cannot guarantee their availability, performance, security, or continued operation.
Your use of third-party services may also be subject to their own terms and privacy policies.
08Availability and Service Changes
We aim to keep our services available and functioning properly, but we do not guarantee uninterrupted or error-free operation.
Services may occasionally become unavailable due to:
- Maintenance
- Updates
- Technical issues
- Security incidents
- Third-party outages
- Internet or infrastructure failures
- Circumstances outside our reasonable control
We may modify, suspend, or discontinue any service where reasonably necessary.
09User Content
If a service allows you to submit, upload, publish, or otherwise provide content, you remain responsible for that content.
You represent that you have the necessary rights and permissions to provide the content and that doing so does not violate applicable law or another person's rights.
You grant Spectra Studioz any limited rights reasonably necessary to host, process, display, transmit, or otherwise use your content for the purpose of providing the relevant service.
We do not claim ownership of your content solely because you provide it to us.
10Artificial Intelligence and Automated Systems
Some Spectra Studioz services may use artificial intelligence, machine-learning systems, or automated technologies.
AI-generated or automated output may be inaccurate, incomplete, unexpected, or unsuitable for a particular purpose.
You are responsible for reviewing output before relying on it, publishing it, or using it for important decisions.
Where applicable, additional terms may apply to specific AI-powered products or services.
11Prohibited Conduct and Protection of Individuals
Spectra Studioz does not permit harassment, bullying, discrimination, threats, intimidation, stalking, or abusive conduct toward individuals associated with Spectra Studioz.
This includes conduct directed toward:
- Staff and contributors
- Clients and customers
- Community members
- Contractors
- The owner of Spectra Studioz
- Individuals associated with the owner
This policy applies to conduct occurring through Spectra Studioz services, websites, communications, community spaces, or other channels reasonably connected to our services.
Violations may result in warnings, restriction of access, suspension, or termination of services.
Where conduct may constitute unlawful activity, we may take further action where appropriate and permitted by law.
12Account Suspension and Termination
We may suspend or terminate access to a service if we reasonably believe that:
- You have violated these Terms.
- You have engaged in fraudulent, abusive, or harmful activity.
- Your activity presents a security or operational risk.
- You have failed to make required payments.
- We are legally required to do so.
- The relevant service has been discontinued.

13Disclaimer
To the maximum extent permitted by law, Spectra Studioz provides its services on an “as available” basis.
We do not guarantee that:

- Services will be completely error-free.
- Services will meet every particular requirement.
- Third-party services will remain available.
- Information or generated content will always be accurate or complete.
Nothing in these Terms excludes or limits rights or guarantees that cannot legally be excluded or limited.
14Limitation of Liability
To the maximum extent permitted by applicable law, Spectra Studioz will not be responsible for indirect, incidental, consequential, or special losses arising from your use of our services.
This may include loss of data, profits, revenue, business opportunities, or other intangible losses.
Nothing in these Terms limits liability where such limitation is prohibited by law.
15Indemnity
To the extent permitted by law, you agree to be responsible for claims, losses, damages, liabilities, and reasonable expenses arising from your unlawful use of our services, your violation of these Terms, or your infringement of another person's rights.
This section applies only to the extent permitted by applicable law.
16Privacy
Our handling of personal information is described in the Spectra Studioz Privacy Policy, which forms part of the SP EULA.
By using our services, you acknowledge that personal information may be collected and processed as described in the applicable Privacy Policy.
17Applicable Law and Disputes
Spectra Studioz is operated from New Zealand and may provide services to users and clients internationally.
These Terms are intended to apply internationally. Your use of our services may also be subject to mandatory laws and consumer protections in the country or jurisdiction where you are located.
Where permitted by applicable law, disputes concerning these Terms or our services will be handled in accordance with the laws applicable to the relevant parties and circumstances.
Nothing in these Terms is intended to remove or restrict rights that you are legally entitled to under applicable local law.
18Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue to apply.
19Entire Agreement
These Terms, together with the Spectra Studioz Privacy Policy and any applicable agreements, policies, quotations, invoices, or additional terms referenced by them, form the agreement between you and Spectra Studioz concerning the relevant services.
If a specific written agreement conflicts with these Terms, the specific agreement will take precedence for the relevant matter.
